When filing a Notice of Error in BizFile+, understanding the distinction between clerical errors and typographical errors is critical for efficient correction. Here’s how they are defined and addressed in Singapore’s regulatory context:
1. Clerical Error
Definition:
A clerical error refers to a mistake made during data entry, document preparation, or procedural handling that results in incorrect substantive information being recorded in official filings. These errors often affect the legal or operational accuracy of corporate records.
Examples of clerical errors:
Incorrectly stating a director’s appointment/cessation date.
Filing the wrong share capital amount or shareholder details.
Selecting the wrong entity type (e.g., Private Limited vs. Public Company).
Errors in registered office addresses or officer particulars.
Misreporting financial statements or annual return data.
2. Typographical Error (Typo)
Definition:
A typographical error is a minor, non-substantive mistake caused by inadvertent keystroke errors, spelling mistakes, or formatting issues. These do not alter the intended meaning of the document but may cause confusion if uncorrected.
Examples of typographical errors:
Misspelling a director’s name (e.g., “Tan Ah Kow” vs. “Tan Ah Khow”).
Transposed digits in a UEN (Unique Entity Number) or contact number.
Minor formatting issues (e.g., missing commas in addresses).
Incorrect punctuation in company names (e.g., “Pte Ltd” vs. “Pte.Ltd”).
To correct such errors, you will need to submit a Notice of Error with ACRA to rectify these errors. The approval time is 14 working days.
Please note that if you would like to re-file a company’s financial statements, it should not be under the Notice of Error to rectify clerical/ typography errors. Instead, you will need to file a Notification of revised financial statements.
