Non-routine secretarial services are typically items that do not happen on a regular basis. They are generally not the usual statutory requirements.
Opening of Corporate Bank Account
Every company requires a corporate bank account. A corporate service provider can assist with the opening of one to facilitate your business transactions.
Accounting Services
Most companies will deal with their accounts in house. Some companies may decide to outsource their day to day accounting services to corporate service providers.
HR and Payroll Services
Things like payslips, CPF preparations, payroll, leave computation, IR8A preparation can be outsourced to a corporate service provider.
Application for the relevant work passes
If your corporate service provider provides work pass related services, you can outsource your applications for passes like Employment Passes, S Passes, Work Permits, Dependant Passes to them. Ad-hoc Director’s Resolutions
These are resolutions drafted with reference to decisions made by the board. Here is a non-exhaustive list of the matters which may require a director’s resolution.
- Transfer of shares
- Allotment of shares
- Change of registered office
- Change in business activity
- Change of financial year-end
- Change of company name
- Issuance of dividends
- Filing of errors
- Opening and closing of bank account
- Appointment of new officers
The corporate service provider will then have to prepare and obtain the relevant signatures and file the resolution for the changes to take effect.
Ad-hoc General Meetings
The Annual General Meeting (AGM) is mandatory. However, if there are matters which need shareholder approval, they can be passed through obtaining the shareholders’ consent through an Extraordinary General Meeting (EGM). Here is a non-exhaustive list of the matters which may require the calling of an EGM.
- Approval for allotment of shares
- Appointment or removal of directors
Other Miscellaneous Services
- Preparation of meeting chairperson’s speech
- Application of visas
- Application for grants
- Sourcing for candidates for job vacancies within the company
- Booking of venue for general meetings
These are non-exhaustive. These are just some of the miscellaneous services that a corporate service provider may provide. Please note that the services provided by different corporate service providers are not all the same.
